1. Acceptance of Terms

By accessing or using LogiBuddy's services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.

Binding Agreement

These Terms constitute a legally binding agreement between you and LogiBuddy, Inc. ("Company," "we," "us," or "our").

Capacity to Contract

You represent that you have the legal capacity to enter into this agreement and that you are at least 18 years old or the age of majority in your jurisdiction.

2. Service Description

LogiBuddy Platform

LogiBuddy provides cloud-based logistics and warehouse management software solutions designed to help businesses optimize their supply chain operations, manage inventory, and streamline fulfillment processes.

Service Availability

We strive to provide continuous service availability but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts and Registration

Account Creation

To access our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

Account Responsibility

You are responsible for ensuring that all information provided during registration remains accurate and up-to-date. You may not create multiple accounts or share your account credentials with others.

4. Acceptable Use Policy

Permitted Uses

You may use our services only for lawful business purposes and in accordance with these Terms. You agree to use our services in compliance with all applicable laws and regulations.

Prohibited Uses

You may not use our services for any of the following purposes:

Illegal Activities

5. User Responsibilities

You are responsible for ensuring the accuracy and completeness of all data you input into our systems. You must maintain proper backups of your data and ensure compliance with applicable data protection regulations.

Compliance

You must comply with all applicable laws, regulations, and industry standards in your use of our services. This includes but is not limited to data protection, export control, and industry-specific regulations.

Third-Party Integrations

If you integrate our services with third-party systems, you are responsible for ensuring such integrations comply with all applicable terms and conditions and do not violate any laws or regulations.

7. Payment Terms and Billing

Fees and Payment

Service fees are billed in advance on a monthly or annual basis, as specified in your service agreement. All fees are non-refundable unless otherwise specified.

Late Payments and Suspension

If payment is not received by the due date, we may suspend or terminate your access to our services. You will be responsible for all costs of collection, including reasonable attorney's fees. We may charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate allowed by law.

9. Limitation of Liability

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Damages

In no event shall LogiBuddy be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of our services.

Maximum Liability

Our total liability to you for any claims arising out of or relating to these Terms or our services shall not exceed the amount you paid us for the services in the twelve (12) months preceding the claim.

11. Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to attempt to resolve the dispute informally.

Arbitration

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Class Action Waiver

You agree that any arbitration or court proceeding shall be limited to the dispute between you and LogiBuddy individually. You waive any right to participate in class action lawsuits or class-wide arbitration.
